Terms & Conditions of Use
The Satell Institute (“Satell”) is a Nonprofit think tank and do tank for corporate social responsibility committed to promoting academic enrichment opportunities for students throughout Philadelphia, Pennsylvania and the surrounding region. In this spirit, and harnessing the collective power of the business community and leading Nonprofit educational organizations and business organizations funding scholarships, Satell is proud to support the Nonprofit Enrichment Education Initiative (“Initiative”). The Initiative offers students an opportunity, with access to full tuition scholarship funding, to enroll and participate in educational enrichment courses offered by leading Nonprofit organizations (“Participating Nonprofit(s)”). This Website (the “Site”) contains information regarding courses and programming offered by Participating Nonprofits as part of the Initiative. Parents/caregivers and the children choose the courses/classes of most interest to them.
Please read the following Terms and Conditions of Use (“Terms”) carefully before using the Site. These Terms are binding on the parties and govern your relationship with Satell regarding your use of the Site. Your use or continued use of the Site constitutes your agreement to the Terms, which may be updated by us from time to time without notice to you.
I. Satell’s Role
Satell serves as the volunteer convener of the Participating Nonprofits and assists with promoting courses offered exclusively by the Participating Nonprofits as part of the Initiative. Satell’s marketing efforts include preparation, display and/or distribution of the course catalogue (the “Catalogue”) for programs and classes offered by Participating Nonprofits as part of the Initiative. Satell also leads scholarship fundraising efforts for the Initiative, but receives no material compensation for its efforts.
As convener of the Initiative, Satell shall not be responsible for the actual content, provision, or operation of any courses or other programming. Instead, the Participating Nonprofits shall provide and be responsible for all Initiative programming classes they offer. This includes, but is not limited to, coordination of all content creation, program registrations and enrollment, attendance and scholarship recordkeeping, and compliance with applicable laws and codes of conduct regarding accessibility, academic instruction and operation of courses. Participating Nonprofits shall assume all liabilities associated with all aspects of their programming and course operations.
II. Participating Nonprofits’ Role
As detailed in Section I of these Terms, each Participating Nonprofit, and not Satell, shall be solely responsible for registration, course content and presentation, attendance records, and provision and enforcement of its own electronic code of conduct for Initiative participants, if any.
Each Participating Nonprofit shall be responsible for the development and provision of course descriptions for courses and programs they are operating and offering as part of the Initiative. Such descriptions shall include pertinent information regarding the program/course offered, including course topic description, timing, policies, and age/ability requirements, all of which are to be featured in the Catalogue.

VI. Intellectual Property
- Site Content and Catalogue
The audio and video materials, photographs, text, graphics, logos, layouts, designs, interfaces, software, data and any other content associated with the Site (“Site Content”) or Catalogue are protected by intellectual property and other laws in the U.S. and in other countries. You must comply with all such laws and applicable copyright, trademark or other legal notices or restrictions. You shall not remove or alter any copyright, trademark, or other legal notices marked on the Site Content or Catalogue. The Participating Nonprofits and Satell shall retain all right, title, and interest in and to the Site Content and Catalogue. No transfer of ownership to any portion of the Site Content or Catalogue shall be made as a result of any access you are granted.
You are only permitted to access and view the Site Content and Catalogue for personal, non-commercial purposes in accordance with these Terms, and may not build a business or other enterprise utilizing any of the Site Content or Catalogue, whether for profit or not.

VII. Privacy Policy and Data Security
- Personal Information Provided and Collected
Satell and the Participating Nonprofits strive to provide information and educational enrichment opportunities of the highest quality for students as part of the Initiative. As part of these efforts, Participating Nonprofits may ask you to provide certain limited personal information in order to enroll and participate in courses, access scholarship opportunities, obtain updated course offering information, provide feedback on courses and programming offered as part of the Initiative, or to otherwise maintain and improve the Initiative. For these limited purposes relating to operation and improvement of the Initiative, Participating Nonprofits may share or otherwise provide Satell with such limited personal information.
In addition to the uses identified above in this Section VII(A), Satell may use voluntarily provided personal information or personal information otherwise provided to Satell by a Participating Nonprofit under these Terms to: (1) respond to inquiries for more information; (2) send information or content to you which we think may be of interest to you; (3) send you marketing communications relating to the Initiative; or (4) send information to you regarding changes to these Terms or other legal agreements. In exceptional cases when Satell has reason to believe that doing so is necessary to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) Satell’s rights or property, a Participating Nonprofit, participants in the Initiative, or anyone else who could be harmed by such activities, Satell may disclose personal information when Satell believes in good faith that the law requires Satell to do so.
Satell may share aggregated de-identified information with third parties for research, marketing, analytics, and other purposes tied to operation and improvement of the Initiative, provided such information does not identify a particular individual.
Satell does not sell the information provided to it.
- Third-Party Links / Participating Nonprofits’ Websites
Satell only serves as a convener for the Initiative and does not operate, control, or otherwise have any control or responsibility over or for any content, programming, or actions of Participating Nonprofits, including with respect to data privacy and collection. Satell provides the Site and Catalogue in an effort to promote and inform possible students, parents and caregivers about courses and programming offered by Participating Nonprofits. To this end, the Site and Catalogue include or may bring you into contact with links to third party owned, controlled, or managed websites, including websites owned, controlled, or managed by Participating Nonprofits. Additionally, you may see links from advertisers, sponsors and other partners who may use Satell’s name and/or logo as part of a co-branding agreement.
Satell does NOT control content, or any other aspect, of these third party websites. For example, if you click on a link to a third party website referenced on the Site or in the Catalogue, that click may take you off the Site. Third party websites may send you their own cookies, collect data or solicit personal information. Once you leave the Site, the use of any information you provide is governed by the privacy policy of the operator of the site you are visiting. You agree that you will bring no suit or claim against Satell arising from or based upon any such access or use of third party websites, including, without limitation, websites of Participating Nonprofits that Satell links to the Site.
- Data Security
Satell uses certain physical, managerial, and technical safeguards that are designed to improve the integrity and security of your personally identifiable information. Satell cannot, however, ensure or warrant the security of any information you transmit to Satell or which may otherwise be stored on the Site, and you do so at your own risk. Satell cannot guarantee that such information may not be accessed, disclosed, altered, or destroyed by breach of any of Satell’s physical, technical, or managerial safeguards.
If Satell learns of a security systems breach, then Satell may attempt to notify you electronically so that you can take appropriate protective steps. Satell may post a notice through the Site if a security breach occurs. Depending on where you live, you may have a legal right to receive notice of a security breach in writing.

1. General Compliance with Laws
The safety of children is Satell’s highest priority. Satell complies with applicable laws and regulations, including the Family Educational Rights and Privacy Act of 1974 (FERPA) and the Children’s Online Privacy Protection Act of 1998 (COPPA). Satell will only use information collected for educational and operational purposes as it relates to its limited role as convener for the Initiative and WILL NOT:
· Collect contact information from students without prior parental notification and consent which will include an opportunity for the parent to prevent use of the information and the child’s participation in the related activity. Without prior parental consent, online information will only be used to respond directly to a child’s request and will not be used for other purposes;
· Collect the personally identifiable offline contact information of a student without prior parental consent;
· Use any information collected from students for commercial purposes;
· Distribute to third parties any personally identifiable information relating to a student without prior parental consent;
· Give students the ability to publicly post or otherwise distribute personally identifiable contact information without prior parental consent; or
· Entice any student by the prospect of a special game, prize or other activity to divulge more information than is needed to participate in the activity.
2. Policies for Children Under the Age of 13
Satell encourage parents and guardians to spend time online with their children and to explore and review the courses detailed on the Site as part of the Initiative. No information should be submitted or posted through our services by anyone under thirteen (13) years of age without the consent of their parent or guardian. At this time, Satell is not collecting any personally identifiable information from users under the age of thirteen (13).
To the extent that a Participating Nonprofit provides Satell with personally identifiable information for a user or student under the age of thirteen (13), the Participating Nonprofit’s privacy policies and procedures shall control and the Participating Nonprofit shall represent and warrant that it has complied with all applicable laws and secured all necessary legal consents for collection and sharing of such data. Satell shall not be responsible for any such data or information provided to it by any Participating Nonprofit beyond the obligations set forth in Section VII(E)(1) herein.
VIII. Disclaimers; Limitations; Waivers of Liability
THE SITE AND ALL INFORMATION, SERVICES OR LINKS ON OR THROUGH THE SITE ARE PROVIDED TO YOU “AS IS” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. YOU AGREE THAT YOU BEAR ALL RISKS ASSOCIATED WITH THE USE OF THE SITE, INCLUDING WITHOUT LIMITATION, ANY RELIANCE ON THE ACCURACY, TIMELINESS, COMPLETENESS OR USEFULNESS OF ANY CONTENT OR SERVICES AVAILABLE ON OR THROUGH THE SITE OR ON OR THROUGH ANY LINK OR LISTING. SATELL DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SITE AND ANY CONTENT OR SERVICES AVAILABLE ON OR THROUGH THE SITE OR ON OR THROUGH ANY LINK OR LISTING, TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
SATELL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND, UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY (INCLUDING DETRIMENTAL RELIANCE), INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, USE, DATA, LOSS OF INTELLECTUAL PROPERTY, LOSS OF OTHER INTANGIBLES, LOSS OF SECURITY OF INFORMATION IN CONNECTION WITH YOUR USE OR ANY OTHER PARTY’S USE OR MISUSE OF THE SITE. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING THE SITE. THE MAXIMUM LIABILITY OF SATELL FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE) OR OTHERWISE, SHALL BE $100 US DOLLARS.
SATELL DOES NOT GUARANTEE THAT THE SITE WILL BE OR REMAIN SECURE, COMPLETE OR CORRECT, THAT THE SITE, THE SERVER THAT MAKES THE SITE AVAILABLE, OR THE SERVICES ARE FREE OF ERRORS, VIRUSES, BUGS OR OTHER HARMFUL COMPONENTS, OR THAT ACCESS TO THE SITE WILL BE UNINTERRUPTED. THE SITE MAY INCLUDE INACCURACIES, ERRORS AND MATERIALS THAT VIOLATE OR CONFLICT WITH THIS AGREEMENT. ADDITIONALLY, IT IS POSSIBLE THAT THIRD PARTIES MIGHT MAKE UNAUTHORIZED ALTERATIONS TO THE SITE.
IX. Indemnity
You agree to indemnify and hold Satell and its affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the Site, your connection to the Site, your violation of the Terms, or your violation of any rights of another person or entity.
